These Terms and Conditions govern your use of our website, www.otionrides.com (together called the "Services").

By registering, downloading, accessing or using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Please review these Terms and Conditions (hereinafter referred to as "Terms") before availing our Services.

1. ACKNOWLEDGEMENT

By proceeding to use the Services, you confirm that you do so of your own free will, with full understanding and acceptance of these Terms. If you do not agree to comply with these Terms, you must discontinue use of the Services immediately.

If there is any conflict between these Terms and the terms applicable to a specific portion of the Services or to a particular business or service offered by Otion, the specific terms shall prevail for that portion or service.

Otion is a forward-looking cleantech enterprise committed to sustainable Urban Mobility. We focus on developing solutions that reduce environmental impact while driving efficiency and growth. Our mission is to create cleaner technologies that empower businesses and communities toward a greener future.

2. ELIGIBILITY

The Services are available exclusively to individuals who are legally competent to enter into a binding contract under the Indian Contract Act, 1872. Users must be at least 18 (eighteen) years of age to access or use the Services.

3. SCOPE
  1. For the avoidance of doubt, it is hereby clarified that these Terms shall govern all Services offered by Otion, unless specifically mentioned elsewhere, including those provided by its subsidiaries, affiliates, or partners.
  2. Subject to these Terms, Otion grants you a limited, non-exclusive, non-transferable licence to access and use Otion for your personal, non-commercial purposes.
  3. Otion services are offered on a worldwide basis, without restriction to any specific geography. We are committed to delivering consistent quality and compliance across all regions.
4. DEFINITIONS

In these "Terms", unless the context otherwise requires, the following words and expressions shall bear the meanings ascribed to them below:

  1. "Otion", "we", "us" or "our" or company shall mean: Rideverse Technologies Private Limited, a Company incorporated under the Companies Act, 2013, with its registered office at H no. 73, Smart Homes, Talawali Chanda, Indore (MP) - 453771.
  2. "You ", "Your" or "Customer" or "Client" shall mean an individual or legal entity who is signing up for any kind of Services from us, irrespective of the nature or duration of the Services, including those availing of free Services. Customer's details, including name of the contracting entity and the authorized representative, are as provided in the Otion Registration Form.
  3. "Customer Data" shall mean information pertaining to your clients that you submit or collect via the Subscription Services. Additional information that may be collated by us and provided for your use will not be included within the scope of Customer Data;
  4. "Disclosing Party" shall have meaning set out in Clause as party who is disclosing confidential information;
  5. "Effective Date" shall mean the date of your acceptance of these "Terms";
  6. "Party" shall mean either Otion or Customer:
  7. "Parties" shall mean Otion and Customer collectively;
  8. "Planned Downtime" shall mean the period during which the Services may be shut down for planned maintenance of the Services. To the extent possible and reasonable, such downtime will be scheduled during non-business hours for majority of our customers such as weekends and public holidays and at least 24 (twenty-four) hours' prior notice will be provided;
  9. "Platform" shall mean the combined digital infrastructure provided by Otion, which includes but is not limited to the mobile application (Otion), the website (https://Otion.com), software and any associated tools, features, content, or services. This encompasses all interactive elements, learning materials, user interfaces, and functionalities made available for educational purposes, whether accessed via desktop, mobile devices, or any other supported medium.
  10. "Privacy Policy" shall mean our Privacy Policy
  11. "Cookies Policy" shall mean our Cookies Policy
  12. "Receiving Party" shall have the meaning set out in Clause as party who is receiving confidential information;
  13. "Services" shall mean the use of Website, including but not limited to exploring our products, features, subscription plans and/or third-party products;
  14. "Start Date" shall mean the date of commencement of the Services;
  15. "Terms" shall mean this Terms and Conditions entered into between Otion and you in respect of the Services, along with any modifications that may be notified from time to time; and
  16. "Users" mean individual people or accounts that are designated and authorized by you to access Services.
  17. "Device" means any device that can access the Service such as a computer, a cell phone or a digital tablet.
  18. "Vendor Partners" means any individual, sole proprietor, partnership, company, or other legal entity that has entered into a written agreement with the Company to provide goods and/or services in connection with the Company's business operations, whether directly or indirectly, and includes suppliers, contractors, service providers, riders, drivers and any authorized representatives thereof.
5. REGISTRATIONS

Otion is duly registered with the Department for Promotion of Industry and Internal Trade (DPIIT) with registration number DIPP214508 and recognized as a Micro, Small and Medium Enterprise (MSME) with registration number UDYAM-MP-23-0216015 under applicable laws in India.

6. THIRD PARTY WEBSITES AND CONTENT

The Platform may include links to external websites ("Third-Party Websites") and may host or display articles, photographs, text, graphics, pictures, designs, music, sound, videos, information, applications, software, and other materials originating from third parties ("Third-Party Content").

  1. Otion is not responsible for the content, accuracy, or reliability of any third-party websites or content. We disclaim any liability or responsibility for the Third-Party Websites accessed through the Platform or Third-Party Content made available on, linked through, or installed from the Platform. This includes but is not limited to the content, accuracy, opinions, reliability, privacy practices, or any policies associated with the Third-Party Websites or Third-Party Content.
  2. The inclusion of links, references, or permissions to access or install Third-Party Websites or Third-Party Content does not constitute approval, endorsement, or affiliation by us.
  3. By choosing to leave the Platform to access Third-Party Websites or to use or install Third-Party Content, you acknowledge that you do so at your own risk. Upon such actions, our Terms and policies, including those relating to privacy and data practices, will no longer apply.
  4. We encourage you to review the applicable Terms, privacy policies, and data practices of any Third-Party Websites you visit or Third-Party Content you use or install.
  5. Any transactions, including purchases, conducted through Third-Party Websites are solely between you and the third party. Otion disclaims all liability for any losses, damages, or disputes arising from such transactions.
7. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
  1. Our Rights: We exclusively own or have rights to all worldwide intellectual property rights in and to the Services and Otion Platform, including all derivatives, enhancements, or improvements thereof. Any suggestions, enhancement requests, feedback, recommendations, or other inputs provided by you or any other party related to the Services shall automatically become our sole property. You hereby assign all such rights to us and agree to take any necessary actions, including executing documents, to confirm our ownership of these rights.
  2. Except as expressly permitted in writing by us, you agree not to copy, rent, lease, sell, distribute, reverse engineer, or create derivative works based on the Services and Platform, in whole or in part. All rights not explicitly granted to you under these Terms are reserved by us.
  3. Your Rights: You retain ownership of any data, information, or material that you create, submit, or compile while using the Services ("Customer Data"), including ride history, personal details, and feedback. We claim no ownership of such Customer Data. You are solely responsible for ensuring its accuracy, quality, legality, integrity, reliability, and appropriateness, including having the necessary rights to provide it. By using the Services, you grant Otion and its licensors the right to use, process, and store Customer Data as necessary to provide, operate, and improve the ride-hailing Services under these Terms.
  4. Use of Name and Logo: You hereby grant us permission to use your name and details in our marketing materials, including but not limited to our website, email campaigns, brochures, and other promotional content, during the term of our engagement and thereafter.
  5. Intellectual Property Compliance: You agree not to infringe or misappropriate any intellectual property rights of Otion, its licensors, or third parties. You must immediately notify us of any known or suspected infringement of our intellectual property rights or any unauthorized access to or use of the Services or Platform.
8. SERVICES DISCLAIMER

The Services provided through the Platform are offered on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, except as explicitly stated in writing.

While we strive to ensure that the Otion Website are operational and fully functional, we do not guarantee uninterrupted or error-free service. Service availability may be affected by scheduled maintenance, technical issues, network disruptions, high demand, or other factors beyond our control.

The Platform and all communications from Otion are not guaranteed to be free of viruses or harmful components.

We aim to provide accurate information regarding ride availability, service descriptions, and fare estimates. However, we do not guarantee that rides will always be available or that all information will be error-free.

Limitation of Liability: Under no circumstances shall Otion, its affiliates, employees, agents, or third-party content providers be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, even if advised of the possibility of such damages.

General Disclaimer: Otion shall not be responsible for any loss or damage arising from reliance on the information, content, or services provided through the Platform.

9. RIGHT TO MODIFY SERVICES

Otion reserves the right, at its sole discretion, to modify, suspend, or discontinue any of its Services, adjust fares, or refuse or cancel ride requests at any time. Such actions may be taken without prior notice, and you acknowledge that Otion will not be liable for any consequences resulting from these changes.

10. PARTNERSHIPS AND THIRD-PARTY SERVICES

Otion may provide links or integrations with partners, affiliates, or third-party services, including EV charging providers. When redirected to such services, Otion is not responsible for their content, accuracy, availability, or performance. Use of third-party services is subject to the respective provider's terms, and Otion will not be liable for any loss, damage, or inconvenience arising from their use.

11. NO PAYMENTS THROUGH WEBSITE

The Website does not facilitate or process any payments or financial transactions. All services offered by Otion are independent of the Website, and no payment requests shall be made through this platform. The Company shall not be liable for any loss or misuse arising from users attempting to make payments via the Website.

12. USER DATA RESPONSIBILITY
  1. The Website shall retain certain data transferred to it for the purpose of providing Otion Services, as well as data related to your usage of the Otion Services. While we conduct regular routine backups of such data, you acknowledge and agree that you remain primarily responsible for all data you transfer or generate through your use of the Otion Services.
  2. You agree that Otion will not be liable for any loss or corruption of such data. By accepting this agreement, you waive any right to pursue legal action against Otion in relation to the loss or corruption of any data you have transferred or that pertains to your activities using the Otion Services.
13. PROHIBITED ACTIVITIES

You agree to use the Otion Platform solely for its intended purpose as a ride-hailing service. Any commercial or unauthorized use is strictly prohibited unless expressly approved by Otion. Prohibited activities include, but are not limited to:

  1. Systematically collecting ride, user, or content data from the Platform to create external databases, directories, or compilations without Otion's written permission.
  2. Using the Platform to send unsolicited messages, promotional material, or collect user contact information without authorization.
  3. Attempting to defraud, mislead, deceive, or harass Otion, its drivers, employees, or other users, including attempts to access sensitive account information such as passwords.
  4. Employing automated tools, scripts, robots, or scraping methods to access or interact with the Platform.
  5. Interfering with, overloading, or disrupting the Platform, its services, or associated networks.
  6. Impersonating another user, driver, or Otion employee.
  7. Selling, transferring, or sharing your Otion account with others.
  8. Reverse engineering, decompiling, or attempting to derive the source code of the Platform.
  9. Bypassing any security, access, or usage restrictions implemented by Otion.
  10. Deleting, altering, or tampering with proprietary notices, trademarks, or other intellectual property on the Platform.
  11. Using the Platform in violation of applicable laws, regulations, or governmental directives.
  12. Spamming, distributing malware, or engaging in any harmful, illegal, or disruptive activity.
14. MAINTENANCE AND SUPPORT

Otion shall be solely responsible for providing all maintenance and support services related to the Otion Platform, as specified in these "Terms," or as required by applicable law.

15. TERM
  1. These "Terms" shall be effective from the Effective Date and shall remain binding between you and Otion until all obligations under these Terms are fulfilled, unless terminated earlier in accordance with these Terms.
  2. These "Terms" will remain in full force while you use the Platform or are otherwise a user or member. You may terminate your use or participation at any time for any reason by following the account termination instructions in your settings, if available, or by contacting us using the contact information provided below.
16. TERMINATION AND ITS EFFECT
  1. Without limiting any other provision of these "Terms", Otion reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Platform and Services to any person, for any reason, or for no reason at all. This includes, but is not limited to, situations where there is a breach of any representation, warranty, or covenant contained in these "Terms", or any applicable law or regulation.
  2. Otion may, at its sole discretion, terminate your use or participation in the Platform and Services, delete your profile, and remove any content or information you have posted, without prior warning.
17. USE OF INFORMATION SUBMITTED
  1. Geographical Location and IP Address Tracking: For service optimization and to monitor any potential fraudulent activity, Otion retains records of IP addresses associated with user accounts. This helps us track the geographical location of users to enhance service delivery and maintain security.
  2. Opting Out of Communications: Otion aims to provide services that simplify the lives of users, and subscribing to Otion is entirely voluntary. If at any time you wish to opt out of future communications, you can do so by clicking the unsubscribe link.
18. GUIDELINES FOR REVIEWS
  1. Otion reserves the right to accept, reject, or remove reviews at its sole discretion and has no obligation to screen or delete reviews, even if deemed objectionable or inaccurate.
  2. Reviewers must adhere to the following guidelines:
    1. Reviews should not demean any child or have any adverse impact on any child.
    2. Reviews should reflect firsthand experience with the reviewed person/entity.
    3. Reviews must not contain offensive language, profanity, hate speech, discriminatory references, or illegal activity.
    4. Reviewers should not be affiliated with competitors or post biased, false statements or organize campaigns for reviews.
    5. Reviewers should not make legal conclusions about conduct.
  3. Reviews are not endorsed by Otion and do not reflect the views of Otion. Otion is not liable for any claims or losses resulting from reviews. By posting a review, the reviewer grants Otion a perpetual, royalty-free, worldwide license to use the content.
19. POLICIES AND TERMS GOVERNED BY MOBILE APP TERMS AND CONDITIONS

The following policies, form an integral part of and are governed by the Terms and Conditions of the Otion Mobile App:

  2. Payment Terms

By accessing or using the Services, you acknowledge and agree that these policies and terms shall be read together with and subject to the Mobile App Terms and Conditions.

20. SUBMISSIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Platform or the Otion Services ("Submissions") provided by you to Otion are non-confidential and Otion (as well as any designee of Otion) shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

21. SURVIVAL

Any provisions of these Terms that, by their nature, are intended to survive termination—including, but not limited to, clauses relating to intellectual property rights, data privacy, confidentiality, indemnity, and dispute resolution—will remain in effect after the termination or expiration of these Terms for as long as necessary to fulfill their intended purpose.

22. GOVERNING LAW AND EXCLUSIVITY OF JURISDICTION

These "Terms" shall be governed by the laws of India alongside other applicable local, state, national, or international laws.

The courts at Indore, Madhya Pradesh, India, shall have exclusive jurisdiction over any disputes arising from or in connection with these "Terms" and you irrevocably submit to the exclusive jurisdiction of these courts.

23. PRIVACY POLICY

We prioritize the protection of your privacy and consider your personal information one of our most valuable assets. Our Privacy Policy governs how we collect, use, and disclose your personal information and is an integral part of these "Terms." Kindly read it carefully, as it outlines what information we collect, how and why we collect it, with whom we share it, and your rights to opt-out.

By using our Services, you consent to the terms of our Privacy Policy.

24. CONFIDENTIALITY
  1. The Services may contain confidential information belonging to Otion, including, but not limited to, trade secrets, business information, plans designated as confidential.
  2. As a user, you agree to use commercially reasonable efforts to keep all data and information provided by Otion ("Confidential Information") confidential, whether written, oral, or visual. You may not disclose Confidential Information to others, except as required by law. If compelled by law to disclose such information, you will notify Otion immediately, to the extent permissible by law.
  3. Otion reserves the right to disclose any information, including Customer Data and Confidential Information, when required by law, regulation, legal process, or governmental request, with notice provided if permissible.
  4. The user agrees to maintain the confidentiality of all Confidential Information for a period of three (3) years following the termination or expiration of these Terms, regardless of the reasons for such termination.
25. WAIVER

The failure of Otion to enforce any provision of these "Terms" shall not affect its right to enforce full performance of such provision in the future. A waiver by Otion of any breach shall not be considered a waiver of any future breach or other provisions. Any waiver will only be effective if in writing and signed by an authorized representative of Otion.

26. Entire "Terms"

These "Terms," along with the Privacy Policy and Cookie Policy, and all related agreements and policies incorporated by reference, constitute the complete and exclusive agreement between you and Otion concerning the subject matter herein.

27. Independent Rights

The rights of Otion are independent, cumulative, and not prejudiced by the exercise or non-exercise of any other rights, whether under these "Terms" or otherwise. The exercise of any right under these "Terms" shall be in addition to other rights available to Otion under law, equity, or any other provision of these "Terms."

28. Assignment

These "Terms" and the agreement it represents are personal to you and cannot be assigned or transferred by you. We may assign, transfer, or delegate any of our rights and obligations under this agreement without your consent.

29. RELATIONSHIP

These "Terms" do not create an agency, partnership, joint venture, or employment relationship between the parties, and neither party has the authority to bind the other in any respect.

30. Notices
  1. Any notices, requests, or other communications required or permitted under these "Terms" from the User to Otion must be in writing, in English, and delivered by one of these methods: by hand with acknowledgment of receipt or by email with confirmation of receipt. Notices will be deemed duly given when received by Otion.
  2. Electronic notices should be sent to Otion at connect@otionrides.com. Otion will send notices to Users via email to the address provided by the User.
31. FORCE MAJEURE

Otion shall not be held liable for any failure to fulfill its obligations under these "Terms" due to force majeure or reasons beyond its reasonable control. Such circumstances include, but are not limited to, acts of God, acts of government or authorities, malicious third-party attacks on the Platform, electrical fluctuations or failures, electromagnetic interference, environmental factors, public utility failures, labour disputes, hostilities between nations, war, riots, civil unrest, insurrection, blockades, import/export regulations, national emergencies, explosions, storms, earthquakes, floods, fires, terrorism, accidents, sabotage, strikes, supply shortages, destruction of service facilities, infectious diseases, epidemics, utility or telecommunication outages, internet disruptions, or any other unforeseen events or changes in circumstances beyond Otion's control.

32. AMENDMENT
  1. Otion reserves the right, at its sole discretion, to amend, modify, revise, update, suspend, remove, or otherwise change these "Terms" at any time, without prior notice. If any such changes constitute a material alteration (as determined by Otion in its sole discretion), Otion will notify you by posting an announcement on the Platform.
  2. Any amendments or modifications to these "Terms" will take effect immediately upon being posted on the Platform. By continuing to access the Platform or use the Services after such changes are posted, you agree to be bound by the amended or modified "Terms."
  3. We encourage you to review these "Terms" regularly to stay informed of any updates. If you do not agree with any changes made to these "Terms," you must cease accessing the Platform and using the Services immediately.
33. INDEMNITY
  1. You agree to defend, indemnify, and hold harmless Otion, its subsidiaries, affiliates, and their respective officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, arising from:
    1. Your contributed content,
    2. Your use of the Otion Services,
    3. Any breach of these "Terms,"
    4. Any violation of your representations and warranties set forth herein.
  2. Notwithstanding the above, Otion reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Otion. You agree to cooperate, at your expense, with Otion's defense of such claims.
  3. Otion will make reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification upon becoming aware of it.
34. DISPUTE RESOLUTION
  1. If any dispute, controversy or claim arises under this "Terms" or in relation to the Platform or Service, including any question regarding the existence, validity or termination of this "Terms" (hereinafter "Dispute"), the concerned parties shall use all reasonable endeavours to resolve such Dispute amicably.
  2. If the parties are unable to resolve the Dispute amicably within 30 (thirty) days of the notice of such Dispute, Otion may elect to resolve such Dispute by binding arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996. The parties will refer the dispute to a sole arbitrator to be appointed by Otion. The seat of the arbitration shall be Indore and the language of arbitration shall be English.
  3. Nothing contained in this clause will preclude a party from applying for and obtaining any injunctive, prohibitory or other similar urgent or interim relief.
  4. Any arbitration shall be confidential, and neither you nor Otion may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcing the arbitration award.
  5. All administrative fees and expenses of arbitration shall be initially borne by the Party initiating Arbitration proceedings, however, the same shall be later recovered from the Party as decided in the Arbitration Judgement.
  6. This paragraph shall survive termination of these "Terms".
35. TRANSLATION INTERPRETATION

These "Terms" may have been translated if we have made them available to you on our Service. You agree that the original English text shall prevail in the case of a dispute.
